Acquisitions (M&A)

An acquisition requires a well-considered approach and strong guidance. We support you at every stage of the process, whether you are buying or selling a business through an asset deal or a share deal. From the initial discussions to closing, we ensure watertight contracts and clear negotiations. Thanks to close cooperation with your accountant and advisors, we guarantee a smooth and legally sound process.

Thorough preparation through due diligence

Through in-depth due diligence, we identify all risks and key considerations of your business. Via a structured data room and a clear report, we make your company fully ready for sale and avoid surprises during the process.

Strategically rooted in the Waas and Dender region

Our office in Zele, near Dendermonde, is centrally located in the triangle Brussels, Antwerp and Ghent, close to the Lokeren/Zele exit on the E17. In addition, we have a branch in Aalst. As a boutique law firm, we offer personal, fast and pragmatic legal services to entrepreneurs in the region.

Acquisition support

Whether you wish to acquire or transfer a business through the transfer of assets (asset deal) or shares (share deal), we assist you from the initial contact with a potential buyer or seller through to the closing of the transaction. We draft, review and negotiate watertight agreements throughout the entire process: NDA (Non-Disclosure Agreement), LOI (Letter of Intent), SPA (Share Purchase Agreement), Closing Memorandum, etc. We also ensure a seamless due diligence process. All of this is done in close cooperation with your accountant, financial advisor and the financial experts or auditors we work with.

Due Diligence

A Vendor Due Diligence is a must when you wish to sell a business. In a secure digital data room, we archive all information and documents relating to your company. A comprehensive checklist is used, depending on the specific activities of your business. This allows us to carry out a complete screening of your company and identify potential legal risks. Afterwards, you receive a detailed Vendor Due Diligence Report, which we use together to prepare your business for sale. This helps both you and your potential buyer avoid unpleasant surprises. Moreover, a thorough vendor due diligence significantly reduces the likelihood of price negotiations.
